Statement Of Privacy Practices

ARC Resources Ltd. (“ARC”) respects the privacy and confidentiality of our non-employee stakeholders’ personal information. Our practices with respect to the collection, use and disclosure of personal information are reflected in this Statement of Privacy Practices (“Privacy Statement”). This Privacy Statement:

• explains ARC’s practices with respect to the collection, use, disclosure, and protection of personal information by ARC;

What personal information does ARC collect?

ARC may collect certain personal information about you, either directly or through our partners, affiliates, or associates. The personal information may be collected in person, over the telephone, through the mail or over the Internet. The information that we may collect or obtain includes, but may not be limited to:

• your contact information such as your name, address, title, telephone number and email address;
• information about your transaction history which may include your depositories and beneficiaries;
• information about land or mineral rights, banking information (including direct deposit information), birthdate, and possibly death certificate and will documentation, if you are a surface or mineral lease owner; and
• responses to health screening questionnaires.

Why does ARC collect and use your personal information?

ARC collects and uses personal information about you in order to manage our business and provide goods and services to our customers and other stakeholders. We collect personal information only for the following purposes:

• to create and maintain a responsible business relationship with you and provide ongoing service. For example, we may collect and use personal information in order to provide payroll or collect bank account information to ensure timely payments by direct deposit of monies owing to you;
• to maintain our business and operations on your behalf. We need to collect or use personal information to provide settlement reports, or to alert you about environmental incidents in your area; and
• to meet our legal and regulatory requirements. Collecting and using personal information is required for us to meet our contractual obligations to you, or our legal and regulatory obligations.

ARC uses third-party service providers to provide some IT functionality and other business processes. ARC protects personal information that is sent to such third parties for processing through contracts which limit such third-party service providers to using personal information only for uses which ARC itself does. ARC is satisfied that each such third-party service provider has policies and processes in place, including training for its staff and effective security measures, to ensure that the information in its care is properly safeguarded at all times. ARC has the right to audit and inspect how each such third party handles and stores personal information.

Some of ARC’s third-party service providers may be located in the United States or another foreign country. If a third-party service provider is located in the United States or another foreign country, your personal information may be processed and stored in the United States or such other foreign country, and the governments, courts, law enforcement or regulatory agencies of that country may be able to obtain disclosure of your personal information through the laws of the foreign country.

When does ARC share your personal information with others?

The following are situations where we may share some personal information about you with others:

• Subject to applicable laws, we may disclose your personal information to a government agency, court, or law enforcement agency.
• We may disclose your personal information to public authority or, if in our reasonable judgement, it appears that there is imminent danger to life or property that could be avoided or minimized by disclosure of the information.
• We may disclose your personal information where the personal information is publicly available; if a business transfer or change in ownership occurs; or, for additional purposes with your consent where such consent is required by law.

ARC considers personal information provided by you to be private and confidential and accordingly we treat it with care. ARC:

• will use contractual protections to protect personal information from unauthorized uses and disclosures while it is in the custody or control of third-party service providers;
• will protect the privacy and confidentiality of your personal information with reasonable security safeguards that are appropriate to the sensitivity level of the information; and
  • will keep your personal information as accurate and up to date as is necessary for the purposes identified in this Privacy Statement.

Consent to Collection, Use and Disclosure of Personal Information

Unless you contact us to advise us otherwise, by receiving this Privacy Statement, you are deemed to acknowledge and agree that you have consented to the collection, use and disclosure practices set out in this Privacy Statement as they relate to your personal information. You may withdraw this consent at any time by advising ARC in writing. However, this withdrawal is subject to the terms and conditions of any contractual agreements you have with ARC and other legal restrictions.

Automated Collection of Data

Your use of ARC’s website may result in the automated collection of data that can potentially be used to identify you. An automated collection method that may be used is “cookies”. Cookies are types of browser data that may include Internet Protocol (IP) addresses, WIFI details and user data captured when accessing systems or websites. Cookies provide system analytics and assist organizations with site maintenance or operational system requirements.
